ターミネーション

あらゆる契約は契約目的達成、期間の満了などにより終了するが、そのほか契約中途でも終了させることがある。契約期間満了（expiration）によらずに、(1) 契約違反による契約解除（cancellation）、(2) 契約継続が困難な事態の発生による契約解除（forfeiture）による契約の終結をターミネーションという。これら(1) および (2) については、具体的にどのような違反、事態が該当するのか明らかにしておくことが紛争を避けるうえで必要である。ターミネートする際には守秘義務など、直ちに消滅しないものもあるので、既に発生している取引についてどのように取り扱うかを契約に規定しておくことが大切である。当該契約終了後に関する規定の形式には 2 種類ある。第一には契約は消滅するのを原則とするが、特定の条項は例外的にその後も存続するという形式をとるものである。第二は、契約自体はすべての条項が終了するまで消滅させずにおき、したがって各項は順次用済みとなって事実上終了するか、もしくは各条項の有効期間の定めによって個々に終了していくものである。
