当事者の一切の注意や防止努力にもかかわらず、外部から発生して当事者の義務遂行を阻害する事実 。このような事態により義務が遂行できなかった場合は、義務不緩行の責任を免れると解されている。契約には一般にこのことを明示した不可抗力条項が書き込まれる。石油利権契約のような重要な契約には何が不可抗力であるかを列記するのが普通であるが、一般には次のような事態が含まれる。 (1) 地震、洪水、火災、嵐その他の天災、自然の災害 (2) 戦争、侵略、封鎖、その他の敵による武力行為 (3) 革命、反乱、騒乱 (4) ストライキ (5) 接収、徴発、禁止、規制などの政府の行為 (6) 伝染病 (7) その他 いずれの当事者も制御できない第三者の過失または不法行為。 産油国政府または国営会社が契約の相手方である場合に、上記 (5) の「政府の行為」が書き込まれないことがあるので注意を要する。
