委任状とは、ある個人に関する法的、医学的、および財政的な決定を行う権限を他の個人（近親者、弁護士、友人など）に与える事を明記した法的書類である。直ちに有効となる場合もあれば、その人が自分自身で意思決定を遂行する能力を失ったときに有効となる場合もある。

委任状（いにんじょう、power of attorney（POA）、letter of attorney）は、私的な問題（財産に関する事項や医療と福祉に関する事項）やビジネス、その他の法的事項において他人を代理することについて、書面で権限を付与するもの、あるいは付与した代理権を書面で証明する書面である。権限を付与する者を、本人（principal、grantor、donor）という。代理人として行為する権限を付与された者を代理人（agent[1]、attorney、コモン・ロー地域ではattorney-in-factとも）という。
